Terms of Service

1. Acceptance of Terms

By accessing and using the AI Datacenter Finance Platform ("Platform"), you accept and agree to be bound by the terms and conditions of this agreement. If you do not agree to abide by these terms, you are not authorized to use or access our services.

2. Description of Service

The AI Datacenter Finance Platform provides financial indices, market data, analytical tools, and research focused on AI datacenter investments. Services include:

  • Access to proprietary financial indices (GLRI, TTPS, CSS, PAY)
  • Financial calculators and analytical tools
  • Market research and intelligence reports
  • API access for data integration
  • Watchlist and alert services

3. User Accounts and Registration

Account Creation

To access certain features, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials.

User Responsibilities

  • Maintain accurate and up-to-date account information
  • Safeguard your login credentials
  • Notify us immediately of unauthorized account access
  • Comply with all applicable laws and regulations

4. Subscription Plans and Fees

Service Tiers

We offer multiple subscription tiers with varying levels of access:

  • Free Tier: Limited access to basic indices and calculators
  • Professional Tier: Full access to indices, tools, and API
  • Enterprise Tier: Unlimited access with custom integrations

Payment Terms

  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • We may change pricing with 30 days notice
  • Taxes may apply based on your location

5. Data and Content

Ownership and License

All data, indices, methodologies, and content provided through the Platform are owned by AI Datacenter Finance or our licensors. We grant you a limited, non-exclusive, non-transferable license to use this data for your internal business purposes.

Usage Restrictions

You may not:

  • Redistribute or resell our data without explicit permission
  • Use our data to create competing products or services
  • Reverse engineer our methodologies or calculations
  • Exceed usage limits specified in your subscription tier
  • Use automated scraping tools to access our Platform

6. API Terms

API Access

API access is available to Professional and Enterprise tier users. API usage is subject to rate limits and fair use policies as detailed in our API documentation.

API Usage Rules

  • Authenticate all API requests with your provided API key
  • Respect published rate limits and caching guidelines
  • Do not share API keys with third parties
  • Implement proper error handling and retry logic

7. Confidentiality

Users may have access to confidential information through the Platform. You agree to maintain the confidentiality of all proprietary information and not disclose it to third parties without our explicit consent.

8. Intellectual Property

Platform IP

The Platform, including all software, methodologies, indices, calculations, and content, is protected by intellectual property laws. We retain all rights not explicitly granted in this agreement.

Trademarks

AI Datacenter Finance, DCFI Leads, GLRI, TTPS, CSS, PAY, and related marks are trademarks of AI Datacenter Finance. You may not use these marks without our prior written consent.

9. User Conduct

You agree not to:

  • Use the Platform for illegal or unauthorized purposes
  • Interfere with or disrupt the Platform or servers
  • Attempt to gain unauthorized access to our systems
  • Upload malicious code or viruses
  • Violate the rights of third parties
  • Use the Platform to transmit spam or unsolicited communications

10. Privacy and Data Protection

Our collection and use of personal information is governed by our Privacy Policy. By using the Platform, you consent to the collection and use of information as described in our Privacy Policy.

11. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI DATACENTER FINANCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOST PROFITS OR TRADING LOSSES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE SIX MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold AI Datacenter Finance harmless from any claims, damages, or expenses arising from your use of the Platform or violation of these terms.

14. Term and Termination

Term

This agreement remains in effect as long as you use the Platform.

Termination

We may terminate or suspend your account:

  • Immediately for violation of these terms
  • With 30 days notice for non-payment
  • At our discretion for any reason with 30 days notice

Effect of Termination

Upon termination, your right to use the Platform immediately ceases.

15. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

16. Dispute Resolution

Any disputes arising from these terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

17. Changes to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated through email or in-platform notifications. Continued use of the Platform constitutes acceptance of modified terms.

18. General Provisions

  • This agreement constitutes the entire understanding between parties
  • Waiver of any provision does not waive subsequent violations
  • If any provision is unenforceable, remaining provisions remain in effect
  • We may assign our rights and obligations without restriction
  • Your rights are limited and may not be assigned without our consent
